INOSCOPE USER TERMS AND CONDITIONS

Important – read carefully: By creating an account, accessing, or using Inoscope (the "Service"), you agree to be bound by these User Terms and Conditions (the "Terms"). If you do not agree, do not use the Service.

These Terms form a contract between you ("you", "your") and Traft NZ Limited (together with its affiliates, "Traft", "we", "us", "our").

Inoscope is an artificial-intelligence and cloud-based decision-support platform that helps users generate measurements, scopes of work, and related insights from photos and other data. Inoscope outputs are automatically generated and may be inaccurate or incomplete; you must independently verify all outputs and must not rely on them as the sole basis for any professional, financial, safety, legal, or insurance decisions.


1. Acceptance and Changes

1.1 By accessing or using the Service, you represent that you are at least 18 years old and have capacity to enter into a binding agreement.

1.2 We may update these Terms at any time by posting a revised version and updating the "Last updated" date above. Changes take effect on posting. Your continued use after changes constitutes acceptance.

2. Definitions

  • - "Account" means the user profile issued to you.
  • - "Output" means any text, image, report, measurement, data, or other content produced by the Service.
  • - "Documentation" means any user guides or policies we make available.
  • - "Territory" has the meaning given in Section 15.

3. Licence Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and Documentation for your internal business purposes only.

4. User Obligations

4.1 You must:

  • (a) keep your Account credentials secure and notify us promptly of any unauthorised use;
  • (b) comply with all applicable laws (including export-control, sanctions, privacy, and consumer-protection laws) and these Terms;
  • (c) maintain appropriate professional expertise and oversight when acting on any Output.

4.2 Prohibited Conduct – You must not:

  • (a) use the Service to violate any law or the rights of any person, including generating or transmitting unlawful, defamatory, or infringing content;
  • (b) reverse engineer, decompile, or attempt to extract the source code of the Service or its models;
  • (c) bypass or interfere with security or usage-restriction mechanisms;
  • (d) use the Service to develop or train competing AI models;
  • (e) transmit viruses, malware, or other harmful code; or
  • (f) upload or share content that is illegal, hateful, harassing, or exploits minors.

5. Outputs; No Reliance; Professional Disclaimer

5.1 Automated Generation and Inherent Limitations – Outputs are generated automatically by statistical and machine-learning processes and may contain errors, omissions, hallucinations, bias, or outdated information.

5.2 Decision-Support Only – The Service is provided solely to assist qualified professionals. It is your responsibility to independently verify any Output and to exercise professional judgment.

6. Ownership, Licence to User Data, and Feedback

6.1 Except for the limited licence in Section 3, all intellectual-property rights in the Service and Documentation are and remain owned by Traft and its licensors.

6.2 You retain ownership of any data you upload ("User Data"). You grant us a worldwide, royalty-free, irrevocable licence to host, process, and use User Data—including to train, validate, and improve present and future machine-learning models, to analyse usage patterns, and to provide and improve the Service.

6.3 If you provide feedback or suggestions, you grant us a perpetual royalty-free licence to use that feedback.

7. Privacy and Data Security

We process personal information in accordance with our Privacy Statement. By using the Service, you consent to such processing.

8. Third-Party Services and Open-Source Components

Inoscope may interoperate with third-party services or include open-source software. We make no warranties regarding those components and provide a list of open-source licences at inoscope.app/opensource.

9. Suspension and Termination

We may suspend or terminate your access immediately if we reasonably believe you have breached these Terms, harm the Service, or create legal risk. Unless suspension is required by law or necessary to protect other users, we will provide advance notice and an opportunity to appeal. You may stop using the Service at any time.

10. Indemnification

You will indemnify us against all losses, damages, and expenses arising from (a) your misuse of the Service; (b) User Data; or (c) your breach of these Terms.

11. Disclaimers

11.1 AS-IS – To the fullest extent permitted by law, the Service and Outputs are provided "as is" and "as available" without warranties of any kind, express or implied.

11.2 No Professional Advice – The Service does not constitute engineering, legal, or financial advice.

11.3 Third-Party Integration – We are not responsible for third-party services.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will Traft be liable for (a) indirect, special, incidental, punitive, or consequential damages; or (b) aggregate liability exceeding the greater of (i) amounts paid by you to use the Service in the 12 months before the claim, or (ii) USD 100.

13. Export Controls and Sanctions

You must not use the Service in a way that violates applicable export-control, trade-sanctions, or embargo laws.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, internet outages, government actions).

15. Regional Supplements

15.1 New Zealand

  • - Consumer Guarantees Act 1993 (CGA). Nothing in these Terms is intended to exclude any non-excludable rights you have under the CGA. Where you acquire the Service for business purposes as defined in section 2 of the CGA, you agree that the CGA does not apply to the fullest extent permitted by section 43.
  • - Governing Law. These Terms are governed by the laws of New Zealand and subject to the non-exclusive jurisdiction of the New Zealand courts.

15.2 Australia

  • - Australian Consumer Law (ACL). The Service comes with statutory guarantees that cannot be excluded under the ACL. To the extent permitted, our liability for breach of such guarantees is limited, at our option, to re-supply of the Service or payment of the cost of re-supply.
  • - Governing Law. These Terms are governed by the laws of New South Wales, Australia, and subject to the non-exclusive jurisdiction of its courts.

15.3 United States

  • - Disclaimer of Implied Warranties. To the maximum extent permitted under U.S. law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • - Arbitration and Class-Action Waiver. Any dispute will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You and Traft waive any right to participate in class actions.
  • - Governing Law. These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules.

16A. Beta and Test Features

From time to time, Traft NZ Limited may offer beta, preview, or other experimental features ("Beta Features"). Beta Features are provided solely for evaluation and testing purposes, may be modified or discontinued at any time, and may be subject to additional terms. Beta Features are provided "as-is," without warranties of any kind and may produce inaccurate Outputs or experience interruptions. You acknowledge and agree that:

  • 1. Beta Features are not fully tested or supported;
  • 2. Traft NZ Limited may collect, analyse, and use data, feedback, and usage metrics arising from Beta Features to improve the Service;
  • 3. Your use of Beta Features is voluntary and at your own risk; and
  • 4. All limitations of liability and disclaimers in Section 12 apply in full to Beta Features.

16. Changes to the Service

We may modify or discontinue the Service (or any part) at any time with reasonable notice where practicable.

17. Entire Agreement, Severability, and Survival

These Terms (including any policies referenced) constitute the entire agreement between you and Traft regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in force. Sections 6, 10, 11, 12, and 17 survive termination.
